Terms of Service
Effective April 2026
These Terms of Service (the Terms) govern your access to and use of Spell CRM Pro and Spell Help Pro, together with any related websites, mobile apps, and APIs (collectively, the Services), offered by Spell Solutions (we, us, or Spell). By using the Services you agree to these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. Your account
Access to the Services is invite only. Your workspace administrator provisions accounts and assigns roles. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly if you suspect unauthorized access.
2. Acceptable use
You agree not to:
- Use the Services to violate any law, infringe any third party right, or harm others.
- Upload malware, attempt to probe or compromise the Services, or interfere with other customers.
- Send unsolicited bulk messages or use the Services for spam.
- Scrape, resell, or reverse engineer the Services, except to the limited extent allowed by applicable law.
- Use the AI features to generate content that is unlawful, deceptive, or that impersonates another person without authorization.
3. Your data and your content
Your organization retains ownership of the data and content you put into the Services, including contacts, deals, tickets, emails, files, call recordings, and chat messages (collectively, Customer Content). You grant Spell a limited license to host, process, and transmit Customer Content solely to provide and improve the Services for your organization. We do not sell Customer Content and we do not use it to train general purpose AI models available to others.
4. AI features
The Services include AI powered features such as reply drafting, ticket routing, summarization, and sentiment analysis. AI output is generated from patterns in text and can be wrong, outdated, or biased. You are responsible for reviewing AI output before sending it to a customer or acting on it. Do not rely on AI output for legal, medical, financial, or other professional advice.
5. Fees
During early access, commercial terms are agreed in a separate order form or email with Spell. Once general pricing takes effect, fees will be posted in the product and billed on the cadence you select. Fees are non refundable except where required by law.
6. Third party services
The Services may integrate with third party products such as email providers, telephony carriers, mapping services, and AI model providers. Your use of those products is governed by their own terms. Spell is not responsible for third party services.
7. Service changes and availability
We work hard to keep the Services available and secure, and we publish a target of 99.9 percent uptime. We may change, suspend, or discontinue features with reasonable notice. Scheduled maintenance and factors outside our reasonable control are excluded from uptime calculations.
8. Intellectual property
Spell and its licensors own the Services, including all software, documentation, trademarks, and product names such as Spell CRM Pro, Spell Help Pro, and Team Spell Messenger. Nothing in these Terms transfers those rights to you. Feedback you give us about the Services may be used without obligation.
9. Confidentiality
Each party agrees to protect the other party's confidential information using at least the same care it uses to protect its own, and to use it only to perform under these Terms. Confidential information does not include information that is publicly available through no fault of the receiving party.
10. Termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, if we are required by law, or if your use poses a security risk. On termination you may export Customer Content for a reasonable period, after which we may delete it.
11. Disclaimers
The Services are provided on an as is and as available basis. To the maximum extent permitted by law, Spell disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non infringement.
12. Limitation of liability
To the maximum extent permitted by law, Spell will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Services will not exceed the fees paid by your organization to Spell in the twelve months preceding the claim.
13. Indemnity
You will defend and indemnify Spell against third party claims arising from your violation of these Terms, your Customer Content, or your use of the Services in breach of applicable law.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which Spell Solutions is organized, without regard to its conflict of laws rules. Disputes will be resolved in the courts of that jurisdiction, unless otherwise required by mandatory local law.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will post a notice in the product and update the effective date above. Continued use of the Services after changes become effective means you accept the new Terms.
